These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and IGNITE, operating SignOnline ("Company," "we," "us," or "our"), concerning your use of the SignOnline electronic signature platform and related services (the "Service").

By accessing or using SignOnline, you agree to be bound by these Terms. If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

SignOnline provides an electronic signature platform that enables users to:

  • Upload and send documents for electronic signature
  • Sign documents electronically
  • Manage document workflows and tracking
  • Store signed documents securely
  • Create teams and manage collaborative signing processes
  • Generate audit trails and verification certificates

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

3.2 Account Restrictions

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into contracts.

4. Electronic Signatures and Legal Validity

4.1 Consent to Electronic Signatures

By using SignOnline, you consent to be legally bound by electronic signatures and to conduct transactions electronically. You acknowledge that electronic signatures have the same legal effect as handwritten signatures.

4.2 Legal Compliance

You are responsible for ensuring that your use of electronic signatures complies with applicable laws in your jurisdiction. SignOnline is designed to meet the requirements of the U.S. ESIGN Act, UETA, and EU eIDAS regulations, but compliance is ultimately your responsibility.

4.3 Document Integrity

SignOnline provides verification certificates and audit trails to ensure document integrity. You agree not to attempt to tamper with or falsify any documents, signatures, or audit records.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malicious code or viruses
  • Engage in fraudulent or deceptive practices
  • Harass, abuse, or harm others
  • Attempt to gain unauthorized access to any systems
  • Interfere with or disrupt the Service
  • Use the Service for any illegal or unauthorized purpose
  • Exceed usage limits or circumvent access restrictions
  • Resell or redistribute the Service without authorization

6. Subscription Plans and Payment

6.1 Subscription Tiers

SignOnline offers different subscription plans (Free, Pro, Enterprise) with varying features and limits. Current pricing and features are available on our pricing page.

6.2 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method for recurring fees
  • We may change pricing with 30 days' notice

6.3 Payment Processing

Payment processing is handled by Stripe. By providing payment information, you agree to Stripe's terms of service and privacy policy.

7. Intellectual Property Rights

7.1 SignOnline Property

The Service, including its design, features, and content, is owned by IGNITE and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.

7.2 Your Content

You retain ownership of documents and content you upload to SignOnline. By using the Service, you grant us a limited license to process, store, and transmit your content as necessary to provide the Service.

7.3 Feedback

Any feedback or suggestions you provide may be used by us without obligation to you.

8. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy. By using SignOnline, you consent to our collection and use of your information as described in the Privacy Policy.

9. Third-Party Services

The Service integrates with third-party services including:

  • WorkOS for authentication
  • Stripe for payment processing
  • Supabase for infrastructure
  • PostHog for analytics

Your use of these integrations is subject to their respective terms and policies.

10. Disclaimers and Limitations of Liability

10.1 Service Availability

The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation. We may suspend or discontinue the Service at any time with notice.

10.2 No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.3 Limitation of Liability

IN NO EVENT SHALL IGNITE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless IGNITE, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or documents

12. Termination

12.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support.

12.2 Termination by Us

We may suspend or terminate your account for violations of these Terms or for any other reason with notice.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period, subject to legal requirements.
